San Diego law firm seeks a Corporate Paralegal with 7 years of experience to assist two attorneys (one is an equity partner).  The Paralegal will be working with corporate and business transaction matters, and Estate Planning, Probate, and Trust Administration. 

Corporate responsibilities include formation and mergers (domestic and foreign) and preparing organizational documents; preparing minutes and resolutions; reviewing documents and making recommendations for maintenance/clean-up; preparing amendments; maintaining reminder system for annual minutes and trademark renewals; preparing correspondence; conducting online research, background, and asset searches; reviewing and analyzing tax returns; preparing stock certificates and transfer ledgers; and preparing escrow agreements.

Trust and Estate responsibilities include the preparation and handling of wills; trusts and estates by drafting wills, trusts, codicils, trust amendments, directives to physicians, powers of attorney, beneficiary designations, and community property agreements using software utilized by the firm; funding of trusts, including deeds, insurance, assignments and bills of sale; drafting petitions for probate, conservatorship and guardianship,; drafting petitions other than petitions for probate; drafting petitions for distribution; drafting court accountings; locating and interviewing witnesses; maintaining control of probate files and client trust accounts; and arranging for escrows.  The hours are 9:00 a.m. to 5:30 p.m.

An ABA approved paralegal certificate is required.  A degree and 10 years of experience would be preferred.  The qualified Corporate Paralegal will have extensive knowledge of the Corporations and Business & Professions Codes and applicable local, state and federal governmental codes, and local court rules and regulations. Knowledge of trust and probate laws and a working knowledge of probate, conservator and guardianship documents and associated codes, rules, and death taxes, are preferred, but firm can train in the trust and estates areas.  Successful Paralegal candidate must have exceptional organization, communication, writing, and math skills, and the ability to manage caseload with minimal supervision.
