Job Description

Los Angeles law firm seeks a Corporate Paralegal with 5 years of experience in large-size law firm supporting M&A, private equity, and venture capital dealings.  M&A duties include organizing data rooms and coordinating due diligence; preparing and maintaining closing checklists; drafting board and stockholder consents; and coordinating signings and closings. Other responsibilities include equity financings, including LLC financings; venture capital financings and preparing and coordinating securities filings (Form ID, Form D and state blue sky filings); and general entity formation and corporate maintenance, including preparing documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and limited liability companies, DocuSign, Carta (and other cap table management tools), completion of stock certificates, SEC filings, UCC filings and assistance with due diligence matters.

Hours are 9:00 a.m. to 5:30 p.m.

Position is hybrid, 2 days onsite
 

Job Requirements

The M&A Corporate Paralegal must have an ABA approved paralegal certificate; a bachelor's degree is preferred. Experience with UCC filings,and secured financial transactions are a plus.  Candidate will display excellent drafting, writing, and analytical skills, a strong attention to detail, high level of organization, and the ability to work effectively with all levels of staff.
