Job Description

Law firm seek a Transactional Paralegal with 5 years of experience in transactional law and finance to support Corporate, Infrastructure, Intellectual Property, Healthcare, and Real Estate practice groups. Responsibilities include research, analysis, regulatory filings, due diligence, drafting, document issuance, and closings; preparing documents for the SEC, IRS, UCC and other regulatory bodies; performing UCC forms searches, including preparation and filing; maintaining organizational documents, including minute books, annual reports, articles of incorporation or dissolution, stock certificates and merger agreements, and annual registration compliance; supporting document distribution through SharePoint sites, data rooms and other secure collaboration solutions; reviewing deeds, trust deeds, title reports, title insurance policies and reconveyances; drafting file merger and acquisition documents and supporting contract executions and transactional closings, including development and implementation of closing checklists; and organizing documents, contracts and signed agreements, and creating procedures for retrieval of information.
Position will work closely with Infrastructure attorneys on major public agency infrastructure procurement projects, including associated commercial transactions by assisting with all phases including compiling, organizing and conforming large packages of contract documents; supporting the drafting and issuance of various procurement and contract documents; developing project schedules and work plans for procurements and document development and reporting on project progress through Smartsheet.

Hours are 9:00 a.m. to 5:30 p.m. with overtime, onsite work and travel flexibility needed

Position is hybrid, 3 days onsite

Job Requirements

A Bachelor's degree (or equivalent experience) and a paralegal certificate are required. Candidate must have experience organizing and maintaining large volumes of contract documents and a strong understanding of transactional terms and specialized technological skills, including EDGAR and other online search and filing systems. Experience with or a demonstrated interest in public procurement processes is desired.  Paralegal must have excellent attention to detail, strong organizational skills, and ability to coordinate multiple projects and deadlines in a fast-paced environment. Exceptional grammar, spelling and proofreading skills are essential.
