- Equity financings, including LLC financings
- Venture capital financings
- Preparing and coordinating securities filings (Form ID, Form D and state blue sky filings)
- General entity formation/corporate maintenance
- Preparing documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and limited liability companies
- Completion of stock certificates, SEC filings, and UCC filings
- Assistance with due diligence matters
Position Requirements:
- Proof of COVID vaccination is required
- Experience in secured financing transactions and UCC filings is helpful
- Any experience with M&A including organizing data rooms and coordinating due diligence; preparing and maintaining closing checklists; drafting board and stockholder consents; and coordinating signings and closings is highly desired
- Knowledge of DocuSign, Carta (and other cap table management tools)
- Highly client service driven with excellent drafting, writing and analytical skills, a strong attention to detail, high level of organization, and the ability to work cohesively with all levels of staff
